1.            Scope of Application

1.1          These Terms and Conditions govern the creation and use of the Account on the Webiste by the User to apply for open positions within the various entities of the Menarini Group and to manage the related selection process. 

1.2          By creating the Account or submitting their application, the User expressly declares to have read, understood, and fully accepted these Terms and Conditions without any reservation. Failure to accept these Terms and Conditions will result in the impossibility to create the Account and proceed with the submission of applications or the use of related services.  

 

2.            Definitions

2.1          For the purposes of these Terms and Conditions, the terms listed herein shall have the meanings ascribed to them below: 

–         “Menarini”: A. Menarini Industrie Farmaceutiche Riunite S.r.l., with registered office in Via dei Sette Santi 3, 50131, Florence (Italy), Tax Code, VAT No., and Registration No. 00395270481. For the purposes of these Terms and Conditions, the term "Menarini" also includes its affiliates, subsidiaries, or associated entities.

–         “User”: the natural person who creates the Account on the Webiste in order to apply for open positions within the various entities of the Menarini Group and to manage the related selection process. 

–         “Account” or “Service”: the access and authentication management system provided by Menarini, which allows the User to create a personal account on the Menarini Career Portal and to apply for job offers and open positions within the various entities of the Menarini Group.

–         “Website”: the web platform accessible at https://menarini.wd103.myworkdayjobs.com/Menarini_Global_Careers owned by Workday Limited, with registered office at The King’s Building May Lane, Dublin, 7 (Ireland), VAT No. IE 9852355U, Registration No. 521013.

–         “Privacy Legislation”: the laws in force regarding the processing of personal data, such as, but not limited to, EU Regulation 2016/679 (GDPR) and Legislative Decree 196/2003, as amended and supplemented.

–         “Consumer Code”: the laws in force regarding the protection of consumer rights, including Legislative Decree No. 206 of September 6, 2005, as subsequently amended.

–         “Terms and Conditions”: these terms and conditions. 

 

3.            Account Creation  

 

3.1          To create and be able to use the Account, the User must register by creating a profile.  

3.2          The registration form consists of the following modules:  

a.     My Information: completion of the User's personal and contact details (e.g., name, surname, e-mail, telephone, address).

b.     My Experience: indication of the educational background and professional experience (with the option of automatic import from a Curriculum Vitae or LinkedIn profile) and uploading of the Curriculum Vitae (in Word or PDF format), any cover letters, or other attachments supporting the application.

c.     Application Questions: completion of answers to specific questions related to the requested position.

d.     Voluntary Disclosures: acknowledgment of the privacy notice and acceptance of these Terms and Conditions.

e.     Review: final verification and check of the information entered prior to the definitive submission of the application.

3.3          The User declares that the data entered during registration and application are true, accurate, and up-to-date, and undertakes to update them regularly. If the User employs automatic data import features (e.g., from a CV or LinkedIn profile), they are required to verify the accuracy of the data pre-filled by the system before confirming the submission. The User has the right to access their profile at any time to update their data.

3.4          Once registration is complete, Menarini will send a confirmation to the e-mail address provided.

3.5          The User is required to keep their access credentials with the utmost diligence and confidentiality and not to disclose them to third parties. To the fullest extent permitted by applicable law, the User is solely responsible for all access to and use of their Account. In the event of loss, theft, or suspected unauthorized use of the password, the User undertakes to change it immediately and report the incident to Menarini. Menarini shall in no way be liable for damages resulting from the User's failure or delay in securing their Account.

3.6          The Account is strictly personal, and only one Account may be created per User. Menarini reserves the right to suspend or delete duplicate accounts attributable to the same individual.

3.7          The User has the right to request the deletion of their Account at any time and without any charge.

3.8          Through their Account, the User also has access to a section dedicated to Job Alerts, through which they can configure and manage personalized notifications to receive periodic updates whenever new job offers matching their selected preferences and criteria are published. Such alerts are purely optional and may be modified or deactivated by the User at any time.

 

4.            User's Obligations and Responsibilities

 

4.1          The User undertakes to use the Account in compliance with these Terms and Conditions, the law, and the purposes for which the Account was created, as well as in respect of the rights of third parties. Menarini assumes no liability for the improper, abusive, unlawful, and/or non-compliant use of the Account with these Terms and Conditions by the User or by third parties to whom the User has granted access.

4.2          In particular, it is strictly prohibited to:

a.     enter false, inaccurate information, or information pertaining to third parties without authorization;

b.     use the Account or the Webiste illegally, for fraudulent purposes, or, in general, in a manner that causes disturbance, prejudice, or damage to Menarini or third parties. It is strictly forbidden to introduce or upload files containing viruses, malware, trojans, worms, logic bombs, or any other malicious and/or harmful code/material designed to interrupt or compromise the Account or the Webiste; 

c.     carry out activities that infringe upon copyrights, trademarks, patents, or other industrial and/or intellectual property rights of Menarini or third parties (including rights to software, photographs, images, texts, videos, etc.) related to the Webiste and/or the Account;

d.     upload, transmit, or disseminate content that may be harmful, defamatory, unauthorized, malicious, or that infringes upon the privacy or image rights of others;

e.     disseminate materials that incite violence, racial or ethnic hatred, that constitute acts of gross indecency, or that induce or instigate the commission of crimes or offenses;

4.3          Violation of the rules of conduct will result in the immediate deactivation of the Account and, where appropriate, reporting to the competent authorities.

5.            Disclaimer of Warranties and Limitation of Liability

5.1          The creation of the Account and the submission of the application do not in any way guarantee the establishment of an employment relationship, nor the invitation to selection interviews. The evaluation of applications is reserved for the unquestionable judgment of Menarini.

5.2          Menarini does not guarantee that access to the Account will be uninterrupted or error-free and is not responsible for suspensions or malfunctions due to maintenance, network failures, or Force Majeure events beyond its control.

5.3          Menarini cannot be held liable for any inaccuracies in published job offers due to technical or material errors, which it will proceed to correct upon detection or notification.

5.4          To the maximum extent permitted by law, Menarini shall in no event be liable for any indirect or consequential damages, or damages resulting from loss of data, job opportunities, or commercial chances suffered by the User.

5.5          Menarini is not responsible for any damage or disservice attributable to malfunctions of the User's digital environment or hardware.

5.6          No provision of these Terms and Conditions may limit or exclude Menarini's liability for willful misconduct or gross negligence. Nothing contained in these Terms and Conditions affects the mandatory rights granted to the User under applicable law (including, where applicable, the Consumer Code).

6.            Indemnification

6.1          The User agrees to indemnify and hold harmless Menarini, as well as their directors, managers, and assignees, against any liability, claim, damage, cost, and/or expense (including, but not limited to, reasonable legal fees) incurred by such parties, arising out of or in any way connected to:

a.     third-party claims based on the User's negligent, fraudulent, unlawful use of the Webiste and/or the Account, or use in violation of these Terms and Conditions;

b.     information, data, Curriculum Vitae, materials, and/or content that have been transmitted, uploaded, and/or disseminated by the User in violation of third-party rights (including copyright, patent, trademark infringement, or violation of others' privacy rights).

6.2          Nothing stated in these Terms and Conditions obliges Menarini to carry out prior surveillance on the information or documents directly uploaded by the User, without prejudice to the obligations set forth by applicable law.

7.            Force Majeure

 

7.1          Menarini shall not be held liable for any delays, interruptions, suspensions of the Webiste or the selection process, nor for any damage suffered by the User, if such events are caused by unforeseeable circumstances beyond its reasonable control (so-called "Force Majeure"). For example, Force Majeure events include: malicious cyber-attacks, prolonged outages of cloud infrastructure providers or telecommunications networks, power outages, pandemics, strikes, or restrictions imposed by governmental authorities.

7.2          In the event of Force Majeure, Menarini will make every reasonable effort to mitigate any inconvenience and restore the normal operation of the Service as quickly as possible. 

8.            Intellectual Property

8.1          Trademarks, distinctive signs, images, texts, computer programs, as well as any other work subject to industrial and/or intellectual property rights present on or related to the Account, belong exclusively to Menarini or its assignors. The User shall not acquire any rights in respect thereof, unless otherwise provided.

8.2          The User is expressly forbidden from copying, decompiling, disassembling, modifying, distributing, communicating to the public, or transmitting such works over networks, except in cases expressly provided for by law.

8.3          The User retains exclusive ownership of the content of their Curriculum Vitae and attached or uploaded documents. By uploading such documents, the User grants Menarini a free, non-exclusive license strictly limited to the execution of the Service.

9.            Processing of Personal Data

9.1          Menarini, as the data controller of the personal data of the User requesting the Service, undertakes to comply with the Privacy Legislation by adopting all appropriate technical and organizational measures so that data processing meets the requirements of the Privacy Legislation and ensures the protection of the data subject's rights. 

9.2          Menarini provides the data subject with all information regarding the processing of personal data, in compliance with the principle of transparency established by the Privacy Legislation. This information is made available in the privacy notice regarding the processing of personal data, which can be consulted at any time on the website [•].

10.         Closing Your Account

 

10.1       The User may delete their Account using the appropriate function on the Webiste or by sending a written request to Global.Talent.Acquisition@menarini.it.

10.2       Menarini reserves the right to limit, suspend, and/or close the User's Account in the event of a material breach of these Terms and Conditions, abuse, unlawful or fraudulent use of the Account, compliance with a binding order or request from a judicial or administrative authority or for other just cause.

10.3       The closure and/or suspension of the Account will result in the User's inability to use the Account.

11.         Links to Third-Party Websites

 

11.1       The pages of the Webiste may contain hyperlinks to external websites or resources managed by third parties (e.g., LinkedIn).

11.2       Menarini does not exercise any control or monitoring over such websites and is not responsible for the data, information, content, technical availability, or privacy policies adopted by such external platforms. Access to and use of such websites are at the User's own risk and are subject to the terms and conditions established by the respective operators, which the User undertakes to comply with.

12.         Support and Communications

12.1       Technical support is provided by Menarini to the User through the dedicated support section available on the website [•], within the times and according to the methods indicated therein.  

13.         Updates to the Service

13.1       Menarini reserves the right to modify the features of the Service at any time, including through the introduction of new functionalities and/or the optimization or replacement of existing ones, and will carry out corrective maintenance and updates to the Service.

14.         Amendments to the Terms and Conditions

14.1       Menarini reserves the right to unilaterally update, supplement, and amend these Terms and Conditions for a justified reason, such as, for example, adaptation to new legal or regulatory provisions, the introduction of technical or functional changes to the Service, or for IT security requirements. The amendments will be communicated to Users by publication on the Website.

14.2       Should the User not wish to accept the amendments made, they may withdraw from these Terms and Conditions at any time by independently deleting their Account.  

15.         Applicable Law and Jurisdiction

15.1       These Terms and Conditions are governed by Italian law.

15.2       Any dispute relating to the validity, interpretation, or execution of these Terms and Conditions shall be submitted to the exclusive jurisdiction of the Court of Florence. However, if the User qualifies as a Consumer pursuant to the Consumer Code, the mandatory and competent jurisdiction shall be that of their place of residence or domicile.

16.         Final Provisions

16.1       For matters not expressly provided herein, the laws and regulations in force shall apply.

16.2       The failure to exercise any rights arising from these Terms and Conditions shall not constitute a waiver thereof and shall not in any way preclude the subsequent exercise of the same.

16.3       The potential ineffectiveness and/or total or partial invalidity of one or more articles or individual provisions of these Terms and Conditions shall not result in the invalidity of the other provisions, which shall be deemed valid and effective.
